Please read these Terms of Service ("Terms") carefully before using the Strata Systems website or engaging our services. By accessing strataintegrations.ca, booking a discovery call, or entering into a service agreement with us, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
Strata Systems (operating as Strata Integrations) is a digital consulting firm based in London, Ontario, Canada. We provide website design, process automation, AI integration, systems integration, and operational reporting services to small and mid-sized businesses (SMBs) across Southwestern Ontario.
Strata Systems offers digital consulting services including, but not limited to: website design and development (Digital Foundation), process automation, AI integration, systems and API integration (Systems Bridge), operational reporting and dashboards, and full-stack technology solutions.
The specific scope, deliverables, timeline, and pricing for any engagement are defined in a written Proposal or Statement of Work (SOW) provided to the client prior to the start of work. These Terms apply to all engagements unless expressly superseded by a signed agreement.
All project engagements begin with a written Proposal or SOW that outlines the scope of work, deliverables, pricing, and timeline. A project is considered confirmed when the client provides written acceptance of the Proposal (via email or digital signature) and any required deposit has been received.
Any changes to the agreed scope of work must be documented in writing as a Change Order prior to implementation. Work performed outside the original scope without an approved Change Order may be billed at our standard hourly rate.
Unless otherwise specified in a Proposal, the following payment terms apply:
Project-Based Work: A deposit of 50% of the total project fee is due upon confirmation of the engagement. The remaining balance is due upon delivery of the final deliverable, prior to site launch or handoff.
Retainer and Ongoing Services: Monthly retainer fees are billed in advance at the start of each billing cycle and are due within 7 days of invoice.
Late Payments: Invoices not paid within 14 days of the due date may be subject to a 1.5% monthly interest charge on the outstanding balance. Strata Systems reserves the right to pause or suspend work on any active engagement until overdue invoices are settled.
All fees are in Canadian dollars (CAD) unless otherwise stated. Applicable taxes (HST) will be added where required by Ontario law.
Upon receipt of full payment, Strata Systems transfers ownership of all custom deliverables created specifically for the client under that engagement (e.g., website design files, custom automation workflows, application code). The client receives full ownership of these final deliverables.
Strata Systems retains ownership of all pre-existing tools, frameworks, templates, internal processes, proprietary methodologies, and reusable components used in the delivery of services. These are licensed to the client for use within the delivered project but are not transferred.
Third-party tools, platforms, and software integrated as part of a solution (e.g., Webflow, n8n, Make.com, Supabase) are subject to their own licensing terms. The client is responsible for maintaining any required third-party subscriptions after project handoff.
The client agrees to provide timely access to materials, credentials, systems, and information required to complete the project as outlined in the Proposal. Delays caused by the client's failure to provide required inputs may result in revised timelines and, where applicable, additional fees.
The client is responsible for ensuring they have the legal right to use any content, images, trademarks, or data they provide to Strata Systems for incorporation into deliverables. Strata Systems is not liable for any claims arising from client-supplied materials.
Both parties agree to treat as confidential any proprietary or sensitive information shared during the course of an engagement. This includes, but is not limited to, business processes, technology infrastructure details, financial information, and strategic plans.
Strata Systems will not disclose client confidential information to third parties without the client's prior written consent, except where required by law. This obligation survives the termination of the engagement.
Each Proposal will specify the number of revision rounds included in the project scope. Revisions are defined as minor adjustments to approved work (e.g., text edits, colour tweaks, layout adjustments within the agreed design direction).
Requests that constitute a change in scope, direction, or requirements — rather than a refinement of approved work — will be treated as a Change Order and may incur additional fees.
Feedback and approvals must be provided in writing (email is acceptable). Strata Systems will proceed based on the most recent written instructions received.
Either party may terminate an engagement with 14 days written notice. In the event of termination:
Client-Initiated Cancellation: The client is responsible for payment of all work completed up to the date of termination. Any deposit paid is non-refundable. If work completed exceeds the deposit amount, the client will be invoiced for the balance.
Strata-Initiated Termination: If Strata Systems terminates the engagement without cause, any deposit paid will be refunded on a pro-rated basis for work not yet completed.
Termination for Cause: Either party may terminate immediately if the other party materially breaches these Terms and fails to remedy the breach within 7 days of written notice.
Strata Systems warrants that services will be performed with reasonable skill and care, consistent with industry standards for digital consulting engagements.
We do not warrant that any deliverable will be error-free, uninterrupted, or free from third-party software defects. Results from automation, AI integration, and reporting tools depend on the accuracy and availability of the client's underlying data and third-party platforms, which are outside our control.
The website strataintegrations.ca and all information on it are provided "as is" without warranty of any kind. We make no guarantees regarding specific business outcomes (e.g., revenue growth, cost savings, lead generation) resulting from services delivered.
To the maximum extent permitted by applicable Ontario law, Strata Systems shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to the use of our services or deliverables, even if advised of the possibility of such damages.
Our total liability to any client for claims arising from a specific engagement shall not exceed the total fees paid by that client for that engagement in the three (3) months preceding the claim.
You may use strataintegrations.ca for lawful purposes only. You agree not to use the website to transmit any material that is unlawful, harmful, threatening, or otherwise objectionable, or to attempt to gain unauthorized access to any part of the site or its underlying systems.
Strata Systems reserves the right to modify, suspend, or discontinue any part of the website at any time without notice.
Strata Systems reserves the right to reference completed work in its portfolio, marketing materials, and case studies. This includes displaying screenshots, describing the scope and outcomes of the engagement, and naming the client (business name only).
If a client wishes to opt out of being referenced in Strata Systems marketing materials, they must notify us in writing prior to or at the time of project confirmation. We will honour all such requests.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute may be referred to mediation or arbitration in the City of London, Ontario, before either party pursues litigation.
Strata Systems reserves the right to update these Terms at any time. Changes will be posted on this page with an updated Effective Date. For active client engagements, material changes will be communicated via email. Continued use of our website or services following posted changes constitutes acceptance of the revised Terms.
